Canada Development Investment Corporation (“CDEV”) is a federal Crown corporation that has become the partner of choice for complex financial transactions supporting the Government of Canada’s priorities and maximizing the value of its corporate assets. With more than 40-years of operations, CDEV’s mandate has evolved to encompass a broad range of financial advisory services and expertise in support of the country’s economic objectives. CDEV currently manages over $75 billion in assets through eight subsidiaries, forming the CDEV Group of Companies.
Acting as a bridge between government objectives and the private sector, CDEV serves as the Government’s centre of excellence for financial advisory. It brings a commercial discipline to the evaluation, management, and divestiture of assets as well as other strategic initiatives undertaken in partnership with the Government of Canada.
CDEV is looking to add an experienced Corporate Secretary to its growing team. Reporting to the Executive Vice President and General Counsel, the Corporate Secretary will provide strategic leadership in corporate governance, compliance and Board operations for CDEV and several of its key subsidiaries. Based in Toronto or Ottawa, this role serves as a trusted advisor to the Board of Directors and senior management, ensuring governance frameworks and legal practices align with Crown corporation accountability requirements. The successful candidate will play a central leadership role in maintaining strong corporate governance practices; fostering continuous improvement; overseeing board operations, preparation of Board materials and minutes, and maintenance of corporate records; and supporting director recruitment, onboarding and continuing education.
The ideal candidate will have a minimum of 7 years of relevant legal experience, with a significant focus on governance, corporate law, and regulatory compliance. Prior experience advising Crown Corporations and/or fluency in French would be considered an asset. You will possess exceptional communication and interpersonal skills, enabling you to engage confidently with senior stakeholders and represent the organization with professionalism and discretion.
